Terms of use

These terms are between [Registered company name] ("Ledgrow", "we") and the business using Ledgrow ("you"). By creating an account you agree to them on behalf of your business, and confirm you are allowed to.

What Ledgrow does

Ledgrow is online software for keeping books, GST bills and e-way bills, payroll with PF and ESI, and collections on WhatsApp, and for preparing the files you or your Chartered Accountant use to file returns and pay taxes. It is for businesses, not for personal use.

Your account and people

  • Sign-in is by a one-time code sent to your email (or by SMS). Keep your email and phone secure, and do not share codes or logins.
  • The owner can add an accountant (staff) or a partner CA. Only the owner can add or remove people and change bank details and the GSTIN. You are responsible for what the people you add do in your books.

Your responsibilities

  • The entries are yours: you are responsible for what you enter and for checking figures before you rely on them, file a return or make a payment.
  • Have a lawful basis for the personal data you record about your staff, customers and suppliers, and give them any notice the law requires.
  • Follow our acceptable use policy. No fake invoices, no spam, no misuse.

Not tax or legal advice

Ledgrow works out figures from your books and the rates we publish, and shows estimates (such as advance tax) as estimates. It is not tax, legal or financial advice. Partner Chartered Accountants who file for you are independent professionals responsible for their own work.

Plans, trial and renewal

  • Plans and prices are on the pricing page, per business, plus 18% GST. You can pay monthly or yearly.
  • Every new business starts with a 14-day free trial, with no card. If the trial ends without a paid plan, your books become read-only: you can still view and export them, but not add or change records, until you pick a plan.
  • Paid plans renew automatically at the end of each month or year through Razorpay (monthly plans by UPI AutoPay or card mandate) until you cancel. We tell you before we change a price.

Payment links on your invoices

On paid plans you can add a payment link to an invoice. Payment links are processed by Razorpay. Amounts collected through Ledgrow payment links are received in Ledgrow's Razorpay account and settled to you as agreed in your plan, less Razorpay's fees: [settlement terms to be confirmed]. Razorpay's own terms also apply to the payer.

Apart from this, Ledgrow does not hold or move your money. Payments to the government, staff and suppliers are made by you through your bank or the official portals. Check bank files and challans before you pay.

Your data

Your books belong to you. You can download them at any time. How we handle them is in our privacy policy. For personal data in your books, we act as your Data Processor, on your instructions.

Confidentiality

We keep your books confidential. Our staff see them only with the owner's consent, read-only, for 1 to 7 days, and every look is logged and shown to you. We share them only with the service providers listed in the privacy policy, for the job they do, or when the law requires.

Our software

Ledgrow, its design and its code belong to us or our licensors. You get a right to use it for your business while your plan or trial is active. Do not copy, resell or reverse engineer it. If you send us ideas or feedback, we may use them freely.

Availability

We work to keep Ledgrow available and your books safe, but cannot promise it will never be interrupted. Outside services (the GST and e-way bill portals, banks, WhatsApp, Razorpay) can be slow or down. Keep copies of returns and challans you file.

Suspension

We may suspend an account, or a feature such as WhatsApp sending or payment links, if it breaks these terms or the acceptable use policy, puts other users or the service at risk, or if the law requires it. Unless it is urgent or the law prevents it, we will tell you why first and give you a chance to fix it. While suspended you can still export your books, unless the law prevents it.

Indemnity

If someone makes a claim against us because of entries, messages or invoices you made in Ledgrow, or because you broke these terms or the law, you will cover our reasonable costs of that claim. This does not apply to anything caused by our own fault.

Liability

To the extent the law allows, our total liability to you in any year is limited to the fees you paid us in that year, and we are not liable for indirect losses, penalties or interest arising from figures you did not check.

Ending the service

You can close your account at any time. When you do, download your data first: we delete your books within 90 days, unless the law requires us to keep them longer.

Changes to these terms

If we change these terms in a way that matters, we will tell you in the app or by email before the change applies.

Law and disputes

These terms are governed by the laws of India. Courts at [City of jurisdiction] have jurisdiction. Please write to us first: most problems are quicker to sort out directly.
